Item 2.02 Results of Operations and Financial Condition.

On May 2, 2022, Herbal Brands, Inc. (“Herbal Brands”), a wholly owned subsidiary of Clever Leaves Holdings Inc. (the “Company”), fully repaid its outstanding indebtedness and obligations under that certain Loan and Security Agreement, dated as of May 3, 2019, between, inter alios, Herbal Brands as the borrower and Rock Cliff Capital LLC (“Rock Cliff”) as the lender (as amended, the “Loan and Security Agreement”) in the aggregate principal amount of $5,591,807.75, accrued and unpaid interest of $46,692.44 and aggregate fees of $3,089.00, in full satisfaction of Herbal Brands' obligations under the Loan and Security Agreement (the “Payoff”). Notwithstanding the provisions of the Loan and Security Agreement, no Back-End Fee (as defined in the Loan and Security Agreement) was due in connection with the Payoff. In addition, in connection with the Payoff, all liens, guarantees and encumbrances under the Loan and Security Agreement were released.
